Plain-language terms for using the SatNet platform, smart contracts, and dashboard.
1. What SatNet is
SatNet is a decentralized affiliate marketing platform on BNB Smart Chain (BSC). Members buy membership NFTs to earn USDT commissions from referrals and from vetted Web3 partner token sales. SatNet is a marketing platform, not a financial advisor, broker, custodian, or investment fund.
2. Eligibility
By using SatNet, you confirm:
- You are at least 18 years old (or the legal age in your jurisdiction).
- You are not a resident of jurisdictions where this kind of platform is prohibited.
- You have the legal capacity to enter binding contracts.
- You understand cryptocurrency, NFTs, and smart contract risks.
- You are not on any sanctions list (OFAC, EU, UN, etc.).
3. The smart contracts are the agreement
SatNet operates through open-source smart contracts deployed on BSC. The contract code is the authoritative source of all platform rules: commission rates, tier prices, payouts, marketplace fees, and admin functions are encoded on-chain.
By interacting with our contracts, you accept the rules they enforce. Read the source code at github.com/satnet (link TBD) and verify on BscScan before transacting.
4. Your wallet, your responsibility
SatNet is non-custodial. You hold your wallet's private keys. We never touch your funds outside the contract logic. If you lose your private key, your NFT and earnings may become unrecoverable.
Admin recovery (via adminRecoverNFT) is available on a case-by-case basis with KYC verification, but we make no guarantee. Back up your keys.
5. Risk acknowledgement
Crypto carries substantial risk including total loss of capital. Specifically:
- Token prices fluctuate violently and can go to zero.
- Smart contracts may contain bugs despite testing and audit.
- Partner projects may fail, exit, or behave maliciously.
- Affiliate earnings depend on real network activity — not guaranteed.
- Regulatory environment changes may affect platform availability.

6. Partner deals — buyer beware
SatNet vets partner projects through intake checks + community KYB voting. Vetting does not guarantee partner project success or honesty. Always do your own research. SatNet is not liable for partner project performance.
7. Commission earnings
You earn commissions only when network activity generates them. There are no guaranteed yields, salaries, or fixed returns. We do not promise specific earnings. Past performance is not predictive.
The global 50% cap on CommissionEngine outflow means total commissions can never exceed half of all platform inflow. Operator backend computes and submits payouts within this cap.
8. NFT membership
NFTs are tradeable on the SatNet marketplace and (subject to standard ERC-721 rules) on third-party marketplaces. Selling your NFT transfers your tree position, downline rights, and future commission flows to the buyer. This is irreversible.
One NFT per wallet at a time is enforced at the contract level.
9. Prohibited conduct
You may not:
- Use SatNet for money laundering, sanctions evasion, or other illegal activity.
- Run bots, scripts, or automated tools to game the network.
- Misrepresent yourself, your identity, or your project (for partners).
- Pay or accept off-chain bribes for tree placement (forbidden under Code of Conduct).
- Attempt to exploit smart contract bugs.
Violations may result in pause of your account, NFT freeze (via emergency pause), or referral to law enforcement.
10. Intellectual property
The SatNet brand, logo, design system, and code are owned by SatNet operating entity (TBD). Open-source contracts are released under MIT license. You may not impersonate or clone SatNet branding.
11. Platform changes
Admin can change: tier prices (via setTierPrice), marketing/insurance/treasury wallet addresses, operator wallet, fee percentages within the marketplace's 10% hard cap. Admin cannot change: commission rates (direct 10%, matching 5/3/2%), engine fund % (30%), global 50% cap — these are constants in deployed contracts.
12. Disclaimer of warranties
SatNet is provided "as is" without warranty of any kind. We do not warrant: uninterrupted service, error-free operation, security against all attacks, or fitness for any particular purpose.
13. Limitation of liability
To the maximum extent permitted by law, SatNet and its operators shall not be liable for indirect, incidental, special, consequential, or punitive damages including loss of profits, data, or use, arising out of your use of the platform.
14. Governing law + dispute resolution
These Terms are governed by the laws of [Jurisdiction TBD]. Disputes shall be resolved by binding arbitration in [Venue TBD]. You waive class action rights.
15. Changes to these Terms
We may update these Terms. Material changes will be announced on the platform and via email to registered members. Continued use after changes constitutes acceptance.
